General Terms and Conditions of Delivery and Payment of Natur Food GmbH
Rechtenbacher Hohl 7, 35398 Gießen (hereinafter referred to as Natur Food GmbH)

1) Validity
Our terms and conditions of delivery and payment are recognized as exclusively binding for all current and future deliveries upon placement of an order. The customer’s purchasing conditions are hereby expressly rejected.

2) Offer
Offers are non-binding and subject to change. By placing an order, the customer declares a binding intention to purchase the ordered goods. The prices listed in the respective offer are decisive. The statutory value-added tax at the applicable rate will be added to the net prices.

3) Payment Terms
The agreed standard payment term is currently 30 days. Different payment terms must be agreed upon in writing. In the event of default, all outstanding claims become due immediately. Natur Food GmbH is entitled to charge default interest of 25% per annum from the first due date. In case of non-redemption of direct debits and checks, a handling fee of €10 will be charged.

4) Delivery
Agreed delivery dates are not fixed dates, so unforeseen events may reasonably extend the delivery period. Deliveries are made to the company address specified on the invoice unless an alternative delivery address is expressly stated. If delivery is made on pallets, a pallet exchange will be carried out. If this does not occur, the value of the pallet will be charged in the next invoice.

5) Complaints
Complaints are only considered if visible defects or incorrect deliveries are confirmed in writing by the respective driver upon delivery. Other complaints must be reported in writing and supported by photos within 3 days of receipt of the goods. In case of complaints about delivered goods, the customer may request either a replacement delivery of defect-free goods or a credit for the corresponding value of the goods. Any further claims for damages by the customer are excluded.

6) Retention of Title
The delivered goods remain the property of Natur Food GmbH until full payment of all claims arising from the business relationship and may not be pledged or transferred. The customer is obliged to inform Natur Food GmbH immediately and in writing in the event of third-party access to the goods and to object, referring to the existing retention of title rights. The buyer is entitled to resell the delivered goods provided that the claim from the resale is transferred to Natur Food GmbH. In the event of resale, the resulting claims are assigned to the seller in advance. The assignment is accepted. Upon request by Natur Food GmbH, the buyer must disclose the debtors, including their addresses and the amount of the claim, and notify them of the assignment. If the delivered goods are further processed, Natur Food GmbH acquires ownership of the new goods.

7) Data Processing
Natur Food GmbH is entitled to process the data received regarding the business relationship with the customer, whether provided by the customer or by third parties, in accordance with the Federal Data Protection Act.

8) Place of Jurisdiction and Application of German Law
The place of performance and jurisdiction is exclusively the registered office of Natur Food GmbH (jurisdiction district Gießen). This also applies to protective measures. Natur Food GmbH will only accept export transactions with the recognition of German law and the jurisdiction of Aschaffenburg.

9) Severability Clause
If one or more provisions of the contract concluded with the customer or these terms and conditions of delivery and business become invalid, the validity of the remaining provisions shall not be affected. The invalid provision will be replaced by a provision that most closely reflects the interests of Natur Food GmbH.
